Using ProviderHQ

ProviderHQ is a professional business-management tool provided by PairaDoc Technologies LLC (“PairaDoc,” “we,” “us”). By creating an account or using ProviderHQ, you agree to these Terms. If you do not agree, do not use ProviderHQ.

Eligibility and your account

You must be at least 18 years old to use ProviderHQ. Provide accurate account information, keep your password and devices secure, and tell us promptly at support@pairadoc.com if you believe your account has been accessed without permission. You are responsible for activity under your account.

Sign-in methods

You may sign in with an email and password or, where offered, with Google. Use of Google sign-in is also subject to Google’s own terms. To protect accounts, ProviderHQ may temporarily limit repeated sign-in, sign-up, or password-reset attempts.

You must review everything ProviderHQ prepares

ProviderHQ is a tool that organizes the information you give it. It does not check that information against your contracts, your clients’ records, or the law. Before you send, file, pay, or rely on anything ProviderHQ prepares or displays, you must review it and confirm it is correct. This includes:

• invoices, invoice numbers, line items, hours, rates, totals, and payment instructions;
• due dates, expected payment dates, overdue flags, and payment balances;
• schedules, missing-shift alerts, and shifts added from a calendar or schedule photo;
• earned, invoiced, paid, and outstanding totals, effective hourly rates, and reports;
• expenses, expense categories, business-use percentages, and mileage;
• tax-reserve figures; and
• credential, license, and contract dates and renewal reminders.

Reminders and notifications are a convenience only. They may arrive late or not at all, so do not depend on them to meet a license renewal, contract, billing, or tax deadline. Always confirm credential and license dates with the issuing board or organization. Keep your own copies of important records.

Not tax, legal, accounting, or financial advice

ProviderHQ does not provide tax, legal, accounting, financial, investment, medical, employment, credentialing, or insurance advice, and using ProviderHQ does not create a professional-client relationship with PairaDoc.

In particular, the tax reserve is a planning number: it simply applies the percentage you choose to your recorded earnings. It is not a calculation of the tax you owe, and it does not account for your deductions, credits, filing status, state or local taxes, self-employment tax, or estimated-payment deadlines. ProviderHQ does not prepare or file tax returns, decide whether an expense or mileage is deductible, determine how you should be classified for tax purposes, or tell you how much to pay or when. Expense categories and mileage logs are for your own record-keeping and are not a determination of tax treatment.

Talk to a qualified tax professional, such as a CPA or enrolled agent, and other appropriate professionals about your specific situation.

No patient records

ProviderHQ is not intended for patient care, charting, medical records, or storage of patient-identifying clinical information. Do not use the service to store protected patient data.

Subscriptions and trials

Eligible new users may receive an introductory trial. Unless cancelled before renewal, a trial converts to the selected paid subscription at the price displayed at purchase. Paid subscriptions automatically renew until cancelled. Subscription management, refunds, and billing rules may also be governed by the platform through which you subscribed, including Apple's App Store or the ProviderHQ web billing provider.

Cancellation

You may cancel renewal using Profile → Plan and the applicable subscription-management flow. Cancellation generally prevents future renewal and does not automatically delete your ProviderHQ account. Account deletion is available separately in Profile → Account.

Acceptable use

You may not misuse ProviderHQ, attempt unauthorized access, upload malicious content, infringe another person's rights, use the service for unlawful activity, or interfere with the operation or security of the service. We may suspend or close an account that violates these Terms or puts the service or other users at risk.

Availability and changes

Features may change as ProviderHQ develops. We may modify, suspend, or discontinue features when reasonably necessary, including for security, legal, platform, or technical reasons. We do not promise that ProviderHQ will always be available or that data will never be lost, so keep your own copies of important records.

Disclaimer of warranties

PROVIDERHQ IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, PAIRADOC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ACCURACY. WE DO NOT WARRANT THAT PROVIDERHQ WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, THAT ANY CALCULATION, TOTAL, DATE, OR REMINDER WILL BE CORRECT OR TIMELY, OR THAT ANY RESULT WILL BE ACHIEVED BY USING IT.

Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, PAIRADOC AND ITS OWNERS, MEMBERS, OFFICERS, EMPLOYEES, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOST INCOME, LOST PROFITS, UNPAID OR LATE-PAID INVOICES, TAXES, PENALTIES, INTEREST, LAPSED LICENSES OR CREDENTIALS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO PROVIDERHQ OR THESE TERMS, EVEN IF WE WERE TOLD THEY WERE POSSIBLE.

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO PROVIDERHQ OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID FOR PROVIDERHQ IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) US $50.

Some jurisdictions do not allow certain warranties to be excluded or certain damages to be limited, so some of the above may not apply to you. Nothing in these Terms limits liability that cannot be limited by law.

Indemnification

You agree to defend and indemnify PairaDoc against claims, losses, and reasonable costs (including attorneys’ fees) brought by third parties that arise from your use of ProviderHQ, the information and documents you enter or upload, the invoices and other records you send to others, or your violation of these Terms or the law.

Governing law and where disputes are decided

These Terms and any dispute about ProviderHQ are governed by the laws of the State of Oklahoma, without regard to its conflict-of-laws rules. Any lawsuit about ProviderHQ or these Terms must be brought only in the state or federal courts located in Oklahoma, and you and PairaDoc consent to those courts’ jurisdiction. Either party may instead bring an individual claim in small-claims court where it qualifies. Before filing any claim, please contact us at support@pairadoc.com so we can try to resolve it informally.

If you downloaded ProviderHQ from the App Store

These Terms are between you and PairaDoc, not Apple. Apple is not responsible for ProviderHQ or its content, has no obligation to provide maintenance or support, and is not responsible for addressing any claims relating to ProviderHQ. If ProviderHQ fails to conform to an applicable warranty, you may notify Apple, and Apple may refund the purchase price, if any; to the maximum extent permitted by law, Apple has no other warranty obligation. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you. You confirm that you are not located in a country subject to a U.S. Government embargo and are not on any U.S. Government list of prohibited or restricted parties.

General

If any part of these Terms is found unenforceable, the rest stays in effect. Our failure to enforce a provision is not a waiver. You may not transfer your account or these Terms without our consent. These Terms, together with our Privacy Policy, are the entire agreement between you and PairaDoc about ProviderHQ.

Changes to these Terms

We may update these Terms. We will post the revised effective date on this page, and continued use of ProviderHQ after an update means you accept the revised Terms.
